1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and CPMC, LLC (“Company,” “we,” “us,” or “our”), a Colorado limited liability company, governing your access to and use of the TransactionCam platform and all related services (collectively, the “Service”) available at transactioncam.com.
By creating an account, accessing the Service, or clicking “I agree” (or similar affirmation), you represent that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of the Service
TransactionCam is a hosted software-as-a-service (SaaS) platform that bridges Clover® point-of-sale (POS) transaction data to UniFi® Protect security cameras. The Service:
- Receives webhook notifications and reads transaction data from your authorized Clover merchant account.
- Normalizes the transaction into a standardized format (amounts in integer cents, currency code, line items).
- Delivers the formatted transaction to your designated UniFi Protect camera(s) via the POS Integration API, where it is overlaid onto the recorded footage.
- Provides a dashboard for managing connections, mapping rules, delivery monitoring, team members, and billing.
- Optionally supports a Local Bridge Connector for outbound-only delivery to consoles on private networks.
Important: TransactionCam is not affiliated with, endorsed by, or officially connected to Clover®, Fiserv®, Ubiquiti®, or UniFi®. All trademarks belong to their respective owners. The Service depends on third-party APIs (Clover and UniFi Protect) that are outside our control.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information (your name, email address, and a password). You agree to keep this information up to date.
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your password and account credentials.
- All activities that occur under your account, whether or not authorized by you.
- Notifying us immediately at support@transactioncam.com if you suspect unauthorized access to your account.
We are not liable for any loss or damage arising from unauthorized use of your account.
3.3 Organizations and Teams
The Service allows you to create organizations and invite team members with assigned roles (Owner, Admin, Operator, Viewer). The organization Owner is responsible for the actions of all team members within that organization and for managing access levels appropriately.
4. Acceptable Use
You agree to use the Service only for lawful purposes consistent with these Terms. You shall not:
- Use the Service in violation of any applicable local, state, national, or international law or regulation.
- Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or systems connected to the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law.
- Use the Service to transmit malware, viruses, or any other malicious code.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Use automated scripts, bots, or scrapers to access the Service without our express written permission.
- Resell, sublicense, or redistribute the Service (or any component of it) to third parties without our prior written consent.
- Use the Service to surveil, monitor, or record individuals in any manner that violates their privacy rights or applicable law.
- Provide false or misleading information during registration or at any time thereafter.
We reserve the right to suspend or terminate your account if we reasonably believe you are violating these Terms.
5. Third-Party Services and Integrations
5.1 Clover Integration
The Service integrates with Clover via OAuth 2.0 and webhooks. By connecting your Clover account, you authorize us to access your merchant data (orders, payments, and basic merchant information) in accordance with the permissions you grant during the OAuth flow. You are responsible for maintaining a valid Clover account and ensuring that the permissions granted to TransactionCam remain active.
5.2 UniFi Protect Integration
The Service communicates with your UniFi Protect console using API keys you provide. You are responsible for ensuring that:
- Your Protect console runs version 7.2 or later (which supports the POS Integration API).
- The API key you provide has the necessary permissions.
- Your network allows the required connectivity (either direct access or via the Local Bridge Connector).
5.3 Stripe (Payment Processing)
If you subscribe to a paid plan, payments are processed by Stripe, Inc. Your use of Stripe is subject to the Stripe Terms of Service. We do not store your full payment card details on our servers.
5.4 Third-Party Availability
We are not responsible for the availability, accuracy, or performance of third-party services (Clover, UniFi Protect, Stripe, or any other). Outages, API changes, or policy modifications by these providers may affect the functionality of the Service. We will make reasonable efforts to accommodate such changes but cannot guarantee uninterrupted operation when they occur.
6. Service Plans, Billing, and Payment
6.1 Plans
The Service may be offered under various plans (including a free tier and paid tiers) with different feature limits and quotas. Plan details, pricing, and limits are as displayed on the Service at the time of subscription.
6.2 Billing Cycle
Paid plans are billed on a recurring basis (monthly or annually, as selected by you). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
6.3 Payment
By subscribing to a paid plan, you authorize us to charge the payment method on file (via Stripe) for the applicable fees. All fees are quoted in U.S. dollars unless otherwise stated.
6.4 Price Changes
We may change our pricing from time to time. If we increase the price of a plan you are currently subscribed to, we will provide at least 30 days’ notice via email before the change takes effect. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle.
6.5 Refund Policy
Subscription fees are generally non-refundable. However, if you cancel within 14 days of your initial purchase or an annual renewal and have not materially used the Service during that period, you may request a full refund by contacting support@transactioncam.com. We will review each request on a case-by-case basis.
6.6 Cancellation
You may cancel your subscription at any time through the billing section of your dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. After cancellation, your account will revert to the free tier (if available) or be deactivated.
7. Intellectual Property
7.1 Our Property
The Service, including its source code, design, user interface, documentation, logos, and all related materials, is owned by CPMC, LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
7.2 Your Data
You retain all ownership rights to the data you provide to or generate through the Service (your “User Data”). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and transmit your User Data solely as necessary to provide the Service to you. This license terminates when you delete your data or close your account.
7.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback into the Service without obligation to you.
8. Data Handling and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points relevant to these Terms:
- We store only connection credentials (encrypted with AES-256-GCM), account information (name, email), and temporary transaction records needed for the delivery pipeline.
- Transaction records are retained for 90 days for retry tracking and audit, then deleted. The permanent record of each transaction is the overlay on your own UniFi Protect footage.
- Connection credentials are deleted immediately upon disconnection or account closure.
- We do not sell, rent, or share your data with third parties for marketing purposes.
9. Confidentiality and Security
We understand that the credentials and data you entrust to TransactionCam are sensitive. We commit to:
- Encrypting all third-party credentials (Clover tokens, Protect API keys) with AES-256-GCM at rest.
- Encrypting all data in transit with TLS 1.2 or higher.
- Never logging, displaying, or transmitting decrypted credentials outside the memory space of the specific operation that requires them.
- Enforcing strict role-based access control and tenant isolation to prevent unauthorized cross-organization data access.
While we implement industry-standard security measures, no system is perfectly secure. You acknowledge that you use the Service at your own risk and that we cannot guarantee absolute security.
10. Service Availability and Support
10.1 Uptime
We strive to maintain high availability but do not guarantee any specific uptime percentage. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including but not limited to third-party outages, network issues, or force majeure events).
10.2 Maintenance
We may perform scheduled and unscheduled maintenance that temporarily affects the Service. We will make reasonable efforts to provide advance notice for planned maintenance.
10.3 Support
Support is provided via email at support@transactioncam.com. We will make reasonable efforts to respond to support requests in a timely manner, but response times are not guaranteed and may vary based on the nature and severity of the issue.
11. Disclaimers and Limitation of Liability
11.1 “As Is” Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT DEFECTS WILL BE CORRECTED.
11.2 No Liability for Third-Party Services
We are not responsible for the acts or omissions of third-party services (Clover, UniFi Protect, Stripe, or any other), including but not limited to data loss, API changes, service outages, or policy modifications by those providers.
11.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CPMC, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
11.4 Exclusions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above exclusions and limitations shall apply to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless CPMC, LLC and its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of the Service.
- Your violation of these Terms or any applicable law.
- Your violation of any rights of a third party.
- Any data or content you submit, transmit, or make available through the Service.
- Your use of the Service in connection with video surveillance in any manner that violates applicable privacy or recording-consent laws.
13. Termination
13.1 Termination by You
You may terminate your account at any time by contacting us at support@transactioncam.com or through the account settings in your dashboard. Upon termination:
- Your access to the Service will cease.
- All stored Clover tokens and Protect API keys will be deleted immediately.
- Account data will be retained for 30 days (for dispute resolution), then permanently deleted.
- Transaction records will continue their normal 90-day retention cycle, then be deleted.
13.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if:
- You materially breach these Terms and fail to cure the breach within 14 days of notice (where the breach is curable).
- You engage in illegal activity or use the Service in a way that threatens the security or integrity of the platform.
- Your account remains inactive for more than 12 consecutive months.
- We are required to do so by law.
13.3 Effect of Termination
Upon termination, the following sections survive: Sections 7 (Intellectual Property), 8 (Data Handling), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution).
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict-of-law principles. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in El Paso County, Colorado, and you consent to the personal jurisdiction of such courts.
15. Dispute Resolution
15.1 Informal Resolution
Before filing any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at support@transactioncam.com. We will attempt to resolve the dispute within 30 days.
15.2 Binding Arbitration
If the dispute is not resolved informally within 30 days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Colorado Springs, Colorado, or remotely via video conference as agreed by the parties. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver
YOU AND CPMC, LLC EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.
15.4 Small Claims Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the “Last updated” date at the top of this page.
- Notify registered users by email at least 30 days before the changes take effect.
Your continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CPMC, LLC regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
17.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any right or provision will be effective only if in writing and signed by an authorized representative of CPMC, LLC.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications outages, or third-party service failures.

18. Recording and Surveillance Compliance
TransactionCam facilitates the delivery of transaction data to surveillance cameras. You are solely responsible for ensuring that your use of video surveillance, transaction overlays, and any resulting recordings complies with all applicable federal, state, and local laws, including but not limited to:
- Employee notification and consent requirements for workplace video monitoring.
- State-specific recording consent laws (one-party vs. two-party consent, where audio is involved).
- Signage requirements for video surveillance in commercial premises.
- Data protection regulations (GDPR, CCPA, etc.) as they apply to video surveillance of customers and employees.
We provide a technology tool. We do not provide legal advice regarding surveillance compliance. You should consult with a qualified attorney to ensure your specific use case complies with applicable law.
